1. Agreement to Terms

• Product Design and Industrial Design
• UX/UI Design and Software Development
• Engineering Services and PCB Design
• Design for Manufacturing (DFM) Optimization
• Parts and Assembly Sourcing
• Factory Inspections and Quality Assurance
• Company Incubation Services

3. Intellectual Property Rights

Our Content: The Site and its original content, features, and functionality are owned by Matrix Solutions Corporation and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: When you submit ideas, designs, or other materials through our forms or services, you retain ownership of your intellectual property. We do not claim ownership of your submissions. Any intellectual property developed during a paid engagement will be governed by the specific agreement for that project.

License: By submitting content to us, you grant Matrix Solutions Group a limited, non-exclusive license to review, evaluate, and discuss your submission internally for the purpose of assessing potential collaboration.

4. Confidentiality

We take confidentiality seriously. Information submitted through our "Apply for Incubation" and "Pitch Your Idea" forms is protected under our Temporary NDA Agreement.

For paid engagements, confidentiality terms will be established in a formal Non-Disclosure Agreement (NDA) tailored to the specific project requirements.

5. User Responsibilities

When using our Site and services, you agree to:

• Provide accurate and complete information in all forms and communications
• Not use the Site for any unlawful purpose or in violation of any regulations
• Not attempt to gain unauthorized access to any portion of the Site
• Not transmit any viruses, malware, or other malicious code
• Respect the intellectual property rights of Matrix Solutions Group and third parties

6. Service Agreements

Specific services provided by Matrix Solutions Group will be governed by separate service agreements, statements of work (SOW), or contracts that outline:

• Scope of work and deliverables
• Pricing and payment terms
• Timelines and milestones
• Intellectual property ownership
• Confidentiality obligations
• Liability limitations

7. Limitation of Liability

To the maximum extent permitted by law, Matrix Solutions Corporation and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or other intangible losses, resulting from:

• Your use or inability to use the Site or services
• Any unauthorized access to or alteration of your transmissions or data
• Any third-party content or conduct on the Site

8. Indemnification

You agree to indemnify, defend, and hold harmless Matrix Solutions Corporation, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Site or services, or your violation of these Terms.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Montana, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Montana.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Your continued use of the Site after any changes to these Terms constitutes acceptance of those changes.
